Terms and conditions of sale
1.-Applicability
These general sales conditions apply to all sales of Industrias Plásticas Médicas, S.A. de C.V. (IPM).
2.-Prices and terms of payment
2.1.- The current price list does not include VAT or any other applicable tax.
Payment shall be made in dollars (USD) or Mexican pesos (MXN) at the exchange rate published by DOF on the day of payment, according to the prices of the commercial proposal. In no case, the CUSTOMER may withhold payment of an invoice without justification, even if the amount delivered is not correct.
2.3.- In case of non-payment of any invoice, IPM reserves the right to unilaterally modify the previously agreed payment conditions and may take the corresponding legal actions.
3.- Proposal
Proposals made by IPM, regardless of the form in which they are made, shall be subject to written confirmation of acceptance of your purchase order, order or contract.
"IPM considers that the client accepts the information contained in the Order Verification Report format VEN-06, subject to the client expressing his disagreement within 24 hours."
3.2.- In the case of specific proposals, these shall include the validity of the same.
3.3.- The documentation required to make purchases is: RFC or proof of tax status, Official Identification, Proof of address, Articles of Incorporation (legal entities), Registration Form VEN- 28 Customer data (request to ventas@ipm.mx ).
4.- Delivery time
4.1.- Delivery dates and deadlines shall be due only after written confirmation of the acceptance of your purchase order or order together with the committed delivery time.
4.2.- The delivery term is counted from the date of confirmation of acceptance of the purchase order or notice that the goods are ready to be delivered. For customers with prepayment schemes, the payment in FIRME is an indispensable condition for the order entry, without which IPM cannot be responsible for fluctuations in inventory.
IPM shall not be liable for delay in the delivery of the goods due to acts of God or force majeure, war, or any analogous or condition beyond IPM's control, thus releasing the CLIENT to IPM from the fulfillment of the delivery until the conditions for its fulfillment exist.
IPM shall not be liable in the case of claims due to causes attributable to the courier company, for deliveries out of time or in bad conditions.
IPM may make partial deliveries or deliveries of different lots, therefore, if the CUSTOMER does not accept these conditions, this must be specified in the purchase order before placing the order.
4.6.- For orders of products that IPM does not have in stock, will be confirmed by phone or email before being supplied.
5.- Place of delivery, shipping and shipping insurance
5.1.- The place of delivery considered shall be based on the information provided by the CUSTOMER at the time of registration. Should there be any modification, the CUSTOMER agrees to notify IPM by means of its purchase order. Failure to comply with the above, IPM reserves the right to charge a penalty for the reshipment of the order.
5.2.- The customer will be informed in the purchase order acceptance if the freight cost is covered by IPM, depending on the purchase quantity.
5.3.- In case of receiving the boxes in bad conditions, there is a period of 24 hours to raise the incident with the related carrier company. The customer should send an email to almacen@ipm.mx.
Quality assurance
IPM declares that the products supplied are free of manufacturing defects and guaranteed for a period specified in the expiration date of each product.
6.2.- The CUSTOMER undertakes to keep records of the distribution of the medical devices to allow traceability and to make these records available for inspection in case of an adverse incident.
6.3.- The CUSTOMER undertakes to store the products purchased from IPM in the conditions indicated on the label of the same, as well as to communicate the same to its customers.
6.4.- In case of presumed failure during the warranty period, the CUSTOMER shall notify IPM in writing at ventas@ipm.mx who shall attend the request and present the CUSTOMER with a solution or return authorization for review, diagnosis and repair or replacement as determined by IPM. Items returned under this warranty must be sent in the same conditions in which they were delivered, including the original packaging, if the failure occurred within the first month of warranty; for later times a different packaging that protects the integrity of the medical device will be acceptable, for which the CUSTOMER will be responsible for any damage suffered by the goods on the way to its reception at our facilities (Plant: Vicente Guerrero #11, Parque Industrial Cuautla, Ayala Morelos, Mexico, C.P. 62715).
6.5.- In the event of any shortage, please communicate it in writing to the warehouse area (almacen@ipm.mx). The maximum term for the customer to communicate any shortage is 5 working days from the date of receipt.
7.- Cancellation
No order may be cancelled by the CUSTOMER once the delivery time confirmation has been notified to the CUSTOMER.
8.- Invoicing
IPM does not perform re-invoicing, therefore the CUSTOMER must review its Order Verification Report (VEN-06) to ensure that the data is correct.
8.2.- The form of payment that appears on the invoice is the one registered at the moment of the CLIENT's registration. In case of any change, it is essential that the CUSTOMER communicate in ADVANCE the form of payment, since the issuance of the invoice is automatic. Otherwise, IPM will not be able to make any change in the invoice, so the CLIENT is kindly requested to send a letter in advance or communicate it through the purchase order.
9.- Exclusion of liability
In no event shall IPM be liable to the CLIENT or any third party for loss of profits, special, incidental, indirect, consequential, or punitive expenses or costs, including but not limited to loss or damages based on reduced sales or profits, delays, failures or downtime, or any other cause; whether arising out of or related to breach of warranty, default, inaccuracy or negligence arising out of the offer, your contract or order; unless IPM has been expressly bound by the execution of a special contract for which you shall refer to the same.
10.- General Provisions
10.1.- The present conditions contain the entire intention of sale and purchase between the parties and the company is empowered to modify them in writing. The means of communication will be through its website.
10.2.- The tolerance of the parties for the full compliance with the provisions of these declarations, constitute mere liberty and does not imply novation or modification of the terms and conditions agreed upon.
Jurisdiction and law
11.1.- The interpretation and fulfillment of these conditions are subject to the laws of the United Mexican States. Any controversy arising from these conditions shall be submitted to the competent Courts of Mexico, Mexico City, regardless of any other jurisdiction that may correspond to them by reason of their present or future domicile.
